Nibi

Merchant Terms and Conditions

Effective date: 30 July 2026

Welcome to Nibi

At Nibi, we believe the best technology should feel effortless. We're committed to building a platform that's fair, reliable and helps great businesses serve their customers more easily.

These Merchant Terms and Conditions explain the legal agreement between Nibi and the businesses that participate in the Nibi platform.

We've written these Terms in plain English because we believe business agreements should be easy to understand.

If anything isn't clear, we'd always rather you ask than guess.

Before You Start

These Merchant Terms form part of the wider Nibi Legal Library and should be read alongside the Customer Terms and Conditions, Privacy Notice, Merchant Privacy Notice, Cookie Policy, Refund Policy and any applicable commercial agreement.

1. About Nibi

Nibi provides technology that enables customers to place and pay for Orders before they are transmitted to participating Merchants.

2. Definitions

Unless otherwise defined, capitalised terms including Account, Merchant, Order, Payment Provider, Rewards, Service and Triggered Order have the meanings given in the Customer Terms and Conditions.

3. How Merchant Participation Works

  1. Customer places an Order.
  2. Nibi securely holds the Order.
  3. The Order becomes a Triggered Order when transmitted.
  4. Merchant prepares the Order.
  5. Customer collects the Order.

4. Merchant Eligibility

Merchants must be legally established businesses, maintain all required licences and comply with applicable laws.

5. Merchant Responsibilities

Merchants are responsible for menu content, pricing, stock availability, product descriptions, allergens, preparation, packaging, collection arrangements and regulatory compliance.

6. Receiving Orders

Orders are only received when successfully transmitted by Nibi. For a detailed explanation of the Order journey, see the Customer Terms and Conditions.

7. Merchant Fees

Fees are set out in commercial documentation. Unless stated otherwise fees are exclusive of VAT.

8. Payments and Settlement

Settlement reports may include gross sales, refunds, adjustments, fees, taxes and net payable amounts.

9. Refunds and Customer Complaints

This section should be read alongside the Customer Terms and Conditions and Refund Policy. Nibi aims to apply refund decisions consistently across customer-facing and merchant-facing policies.

10. Menu Information and Allergens

Merchants must ensure menu and allergen information is accurate and up to date.

11. Merchant Devices and System Access

Merchants are responsible for devices, connectivity, credentials and staff training.

12. Data Protection

Both parties agree to comply with applicable data protection laws. Further information is set out in the Merchant Privacy Notice, Nibi Privacy Notice and Cookie Policy.

13. Merchant Content

Merchants retain ownership of their content and grant Nibi a licence to use it for platform operations and promotion.

14. Suspension and Removal

Our preference is always to work collaboratively to resolve concerns first, but suspension may be necessary to protect customers and the integrity of the Service.

15. Limitation of Liability

Nothing limits liability that cannot legally be excluded.

16. Term and Termination

This agreement continues until terminated by either party.

17. Connected Nibi Documents

These Terms should be interpreted as part of a single Nibi legal framework together with all customer-facing and merchant-facing policies.

18. Governing Law

These Terms are governed by the laws of England and Wales.

Thank you for partnering with Nibi

We're committed to making ordering ahead simple, reliable and effortless.
